Article 1 β Subject
This contract regulates the Representative's authority to communicate with customers, mediate sales, collect payments, and represent the brand on behalf of the Company in the USA.
Article 2 β Duties of the Representative
Contact potential customers, introduce Company projects, and create a trust environment. Manage the sales process and stay in communication with the customer throughout the project. With Company approval, collect payments from the customer and transfer the collected amount to the Company. Production, design, logistics, and shipping are entirely the responsibility of the Company.
Article 3 β Commission System (Per Order Basis)
Core Principle: Commissions are calculated per order, not on monthly totals. Each order earns commission based on the total customer sale price (including product, shipping, and installation).
1. Tiered Commission System
Commission rate depends on the total sale amount for each individual order:

2. Price Difference Bonus (30%)
When the Representative sells above the Company's offered base price, they earn an additional 30% of the difference as bonus:
- Formula: (Sale Price β Company Offer Price) Γ 30%
- Only applies when sale price exceeds the base offer
- Paid together with commission after delivery and full payment
Real Example:
Company Offer: $80,000 β Sale Price: $100,000 β Difference: $20,000
β’ Commission (15%): $100,000 Γ 15% = $15,000
β’ Price Difference Bonus (30%): $20,000 Γ 30% = $6,000
Total Earnings: $21,000
3. Payment and Refund Rules
- Payment Timing: Commissions are paid after full customer payment and project delivery.
- Installment Sales: For installment payments, commission is paid after the final installment is received.
- Cancellations: If an order is canceled or refunded, any paid commission will be deducted from future payments.
- Incomplete Orders: Canceled or refunded orders are not included in performance calculations.
Article 4 β Payment Method
If the customer purchases the product in installments: When the first installment is paid, 50% of the total commission is paid to the Representative. When the product is delivered and the final payment is received, the remaining 50% commission is paid. Commission payments are made within at most 7 business days after the customer payment reaches the Company account. If the customer payment is made directly to the Representative, the Representative transfers the Company's share fully within 3 business days and can use their commission share immediately.
Article 5 β Additional Sales Authority
The Representative is free to set their own price to customers they find themselves. In this case, gets the price from the Company, adds their own profit, and sells to the customer. The customer payment is collected by the Representative and transfers the Company's product fee to the Company account. The Company delivers the products to the address specified by the Representative. Such sales are not included in the bonus system. All additional earnings belong to the Representative entirely.
Article 6 β Sub-Dealership Authority
The Representative can create their own sub-dealers in different businesses such as playgrounds, customers we have projects with, toy and furniture stores. Can earn additional income by managing sub-dealers. Sub-dealerships can be established on a commission basis over the prices offered by the Company, or the Representative can get prices from the Company and set their own prices to sell to sub-dealers. The Representative is responsible for customer complaints arising from wrong pricing or quality issues in sub-dealership transactions.
Article 7 β Authority and Advertising Activities
The Representative is authorized on behalf of Timeless and Beautiful LLC / KidsWoodStore.com and affiliates. Can only act on behalf of the Company in advertising activities of our brands. Can actively participate in advertising activities paid for by the Company. In the scope of sub-dealerships, individual sales activities, and own initiatives, can use our brands' advertising, design, and labels for marketing purposes with the Company's approval using their own budget. Even if using their own budget, all advertising and promotional activities must be pre-approved by the Company.
Article 8 β Confidentiality
The Representative cannot share the Company's pricing policies, customer list, and trade secrets with third parties. This obligation continues even after the contract ends.
Article 9 β Non-Competition
During the period working with the Company, the Representative cannot market direct competitor products or enter into similar collaborations with competitor firms. Otherwise, it is considered a just cause for termination by the Company.
Article 10 β Territorial Authority
The Representative's area of activity is primarily the USA. If the Company wishes, it can grant special authority to the Representative in different regions.
Article 11 β Responsibilities
The Representative is obliged to provide accurate information in communication with the customer. Responsible for damages arising from misinformation. The Company is responsible for production and delivery processes.
Article 12 β Payment Assurance
If the customer cancels or does not complete the payment, the Representative's commission right does not arise. The Representative can only receive commission for orders with completed collection.
Article 13 β Communication and Reporting
The Representative is obliged to submit the monthly sales report to the Company. Regular reporting is mandatory for transparency and business tracking.
Article 14 β Duration and Termination
This contract enters into force on the date of signature and remains valid until one of the parties gives 30 days prior written notice. In cases such as breach of confidentiality, embezzlement of payments, unauthorized advertising, or competitor collaboration, the Company has the right to terminate the contract immediately.
Article 15 β Law and Competent Court
This contract is subject to Wyoming/USA and/or Istanbul/Turkey laws according to the Company's preference. In the resolution of disputes between the parties, Wyoming courts and/or Istanbul courts are competent as determined by the Company.
